What is Trademark Assignment?
Trademark assignment is the legal process of transferring ownership of a trademark—whether registered or pending—from one person or entity (assignor) to another (assignee). It includes the transfer of all associated rights such as the right to:
- Use the trademark,
- License it to others,
- Sell or further assign the mark.
This process is crucial when businesses change ownership, are sold, or merged.
Documentation Required
The Trademark Assignment Agreement is the key legal document used in this process. It must:
- Be in writing,
- Clearly outline the terms and conditions,
- Define whether the assignment is with or without goodwill,
- Specify consideration (payment) terms.
Without proper documentation, the assignment can be declared invalid and may lead to legal disputes. A well-drafted agreement enszures legal clarity, enforceability, and proper transfer of rights.
Assignment of Pending Trademarks
Trademarks under application (i.e., pending approval) can also be assigned. Since trademark registration in India can take months to years, the assignor can still transfer ownership of a pending application, provided the proper documentation is in place.
Types of Trademark Assignments
- Complete Assignment
- Transfers all rights of the trademark, including the right to use, license, sell, or assign further.
- The assignee may even modify the mark and register variations.
- Partial Assignment
- Transfers limited rights, e.g., only for specific goods/services or within a specific territory.
- Example: Assigning trademark use only in Delhi or only for pharmaceutical products.
- Assignment With Goodwill
- Transfers the trademark along with the business’s brand reputation and customer trust.
- The assignee can benefit from the brand’s existing market presence.
- Assignment Without Goodwill
- Transfers only the trademark itself, excluding any business reputation or brand history.
- The assignee starts using the mark from scratch and cannot claim historical goodwill.
